The distributor of auto parts and equipment Tokić has signed a binding agreement to acquire all shares in the Slovenian company SAG SLO, which operates under the Matik brand, the company reported on Wednesday. The completion of the transaction and the transfer of ownership will follow after obtaining the necessary regulatory approvals, and the value of the acquisition has not been disclosed.
SAG SLO is currently owned by the international group Swiss Automotive Group (SAG), which employs more than four thousand people and operates in about ten European markets in the distribution of auto parts and other vehicle maintenance products.
Matik is one of the significant distributors of spare parts for commercial vehicles, trucks, and buses in the Slovenian market. The brand, whose roots in the international market date back to 1969, has been present in Slovenia for about thirty years and today operates through business units in Ljubljana, Maribor, and Koper.
According to revised financial data for 2025, SAG SLO generated 7.2 million euros in revenue last year and employed 28 staff members.
– This acquisition is a natural continuation of our growth and presence in the Slovenian market, where we operate through the company Bartog. We see exceptional potential in Matik’s business and strong complementarity with our operations, especially in the commercial vehicle segment – said Tokić’s CEO Ivan Šantorić.
Bartog was a turning point
The new acquisition is a continuation of Tokić’s years-long expansion in the Slovenian market, whose biggest turning point was the acquisition of Bartog in 2020. This was one of the larger Croatian investments in Slovenia, through which Tokić acquired the leading Slovenian distributor of tires and auto parts.
At the time of sale, Bartog had approximately 60 million euros in annual revenue, 36 stores, and a network of 67 franchise workshops. For Tokić, the acquisition was strategically important as it allowed a strong entry into the Slovenian market, while Tokić’s operations in spare parts distribution complemented Bartog’s strong position in tire sales.
The integration of Bartog has proven to be an important growth generator for the Group. According to data released by Tokić last year, Bartog’s revenues nearly doubled in the first four years following the acquisition. Tokić Group achieved a total of 232 million euros in revenue and nine million euros in profit in 2024.
Bartog’s expansion continued thereafter. In 2025, new branches were opened in Celje and Novo Mesto, and several existing locations were relocated to larger and more modern spaces. At the beginning of 2025, Tokić also acquired the rights to develop the Auto Check Center (ACC) service network in Slovenia, further expanding its operations beyond traditional auto parts distribution.
Bartog now has more than 40 branches
The expansion continued this year as well. Bartog opened new branches in Ptuj and Tolmin, and at the end of May, Tokić opened a renovated and expanded Bartog branch in Ljubljana. The Slovenian company now has more than 40 branches, while Tokić is simultaneously expanding its sales network in Croatia.
The acquisition of Matik thus brings Tokić more than an additional 7.2 million euros in revenue. The company strengthens precisely the commercial vehicle segment, which it has been developing in recent years as one of its new business areas. In 2025, a service for commercial vehicles was launched, and at the beginning of 2026, the operations of this segment were organized through the T Truck Service company.
Matik’s existing position among distributors of parts for trucks, buses, and other commercial vehicles fits into Tokić’s expansion from traditional operations with parts for passenger vehicles and tires towards a broader aftermarket business model.
After the IPO, new acquisitions announced
The new transaction comes less than a year after Tokić’s debut on the Zagreb Stock Exchange. A total of 23.3 million euros was raised in the IPO, of which 20.2 million euros of new capital went to the company. The management made it clear during the public offering that part of future growth should come from new acquisitions.
Member of the Management Board for Finance Dražen Jurković then reminded that Tokić had made several smaller acquisitions of Croatian companies and the large acquisition of Bartog during its development and stated that the company, after the experience of integrating different technologies, processes, and business cultures, is ready for new acquisitions.
Tokić Group, together with Bartog, achieved 247 million euros in revenue in Slovenia in 2025, 7.9 percent more than the previous year.
The acquisition of Matik is therefore the first concrete confirmation of the acquisition direction that the Management Board announced before and after going public. Unlike Bartog, which practically opened the Slovenian market to Tokić six years ago, Matik is a significantly smaller and more targeted acquisition through which the Group deepens its position in a market where it already has a developed sales and logistics infrastructure and enters more strongly into the specialized segment of parts for commercial vehicles.
