Zaslav the Biggest Winner of Warner Bros Acquisition, Leaves with a Billion

After months of consecutive battles over the takeover of Warner Bros. Discovery, involving U.S. President Donald Trump, his son-in-law and supporters, the withdrawal of Netflix and other complications, it seems that the absolute winner in Paramount’s acquisition of Warner Bros will be the current CEO of that company David Zaslav, who will be provided with nearly one billion dollars from this acquisition.

According to the latest reports from across the Atlantic, Zaslav will earn as much as 667.2 million dollars after the completion of the acquisition, which includes: 517.2 million dollars from sale compensation, 115.8 million dollars in stock value he has already vested, and 34.2 million dollars in pure cash severance.

In addition to all this, Zaslav is also entitled to an additional 335.5 million dollars from tax refunds. If the entire transaction concludes as planned, the total cost of his departure will exceed one billion dollars for this company.

This astronomical payout is the result of Paramount Skydance’s victory over Netflix in the negotiations regarding the acquisition of Warner Bros. As part of the agreement, Paramount will also pay shareholders $31 per share in cash, and to break the resistance of the Warner Bros board, it agreed to a series of extreme acquisition conditions.

These conditions include paying 2.8 billion dollars in penalties to Netflix on behalf of Warner Bros for breaching agreements made with that company, as well as seven billion dollars in damages if regulators block the transaction, along with taking on the massive debt that Zaslav accumulated during his tenure at the helm of this global company.

It is worth noting that for weeks, and even months before the final agreement, the situation surrounding this acquisition was extremely tense. Warner Bros initially favored Netflix’s offer of 27.50 dollars per share, but Paramount finalized the deal in February due to its offer of 30 dollars per share, backed by billionaire Larry Ellison (Oracle), who personally guarantees with over 43 billion dollars.

Additionally, as a cherry on top, Paramount introduced a ‘ticking fee‘ penalty of 650 million dollars per quarter that it will pay to Warner Bros if the bureaucracy drags on after 2026. This was an offer that clearly could not be refused, and when you add the pressure from the state leadership, namely Donald Trump himself, Warner Bros had no choice but to sell to Paramount and forever abandon the dream of being part of Netflix’s world.

And now, as Zaslav departs with a payout of nearly 700 million dollars (plus tax bonuses), the new owner David Ellison inherits a conglomerate that includes CNN, HBO, CBS, and Warner Bros. studios.

The market reacted euphorically to this news. Paramount’s shares jumped over 20 percent after the announcement, as investors believe that Ellison, with the financial power of his father Larry, will be able to stabilize the struggling cable business that Zaslav left behind.
