Dental Holding has signed acquisition agreements for the Croatian companies Sanitaria Dental d.o.o. and SCL Logistika d.o.o., as well as the Hungarian Sanitaria Kft., bringing the total number of acquisitions in the sector to six.

The goal is further expansion of the largest and most digitally advanced platform for the distribution of dental products in Central and Eastern Europe, consolidating the regional market. Following the acquisitions, the group will be present in five countries and expects revenues exceeding €110 million this year.

Sanitaria Dental d.o.o., founded in 1997 and headquartered in Zagreb, is the leading distributor of dental supplies in Croatia, providing comprehensive services to approximately 3,500 dental clinics and 1,500 dental laboratories.

SCL Logistika, established in 2013 and based in Zagreb, provides integrated fulfillment and logistics services tailored to the dental and medical industries. With a robust operational network in Croatia, Slovenia, Hungary, and Bosnia and Herzegovina, the company enables fast, compliant, and reliable distribution to dental clinics and laboratories in the region. As part of the group, SCL Logistika will play a key role in enhancing Dental Holding’s regional infrastructure, ensuring operational efficiency and supporting scalable, cross-border fulfillment as the platform continues to grow.

Sanitaria Kft., founded in 1990 and headquartered in Budapest, is the leading distributor of dental implants, equipment, and consumables in Hungary, providing specialized services to approximately 5,000 dental clinics and 2,000 dental laboratories across the country.

– Joining forces with our new partners marks an exciting new chapter for our company. Together, we are committed to consolidating our position in the regional market and investing in fast, efficient logistics to deliver an exceptional customer experience. By combining our shared vision and expertise, we will not only accelerate growth but also set new standards for customer experience in our industry, said Draženko Galić, founder and director of Sanitaria Dental and SCL Logistika.

Bogdan Tufeanu, director of Dental Holding, stated that this partnership represents another key milestone in strengthening leadership in Central and Eastern Europe.

– We are excited to partner with Sanitaria Hungary, Sanitaria Croatia, and SCL Logistika – organizations whose expertise and regional reach perfectly align with our vision of smart growth, digital leadership, and exceptional service. Together, we are setting a new standard in dental distribution in the region, said Tufeanu.

Adrian Stănculescu, partner at Abris Capital Partners, also shares the excitement.

– We are thrilled to deepen our presence in dental distribution, an industry driven by increasing patient needs, an aging population, and technological advancements. Dental Holding stands out as a solid platform with a history of growth, and our goal is further market consolidation through strategic acquisitions and green investments, added Stănculescu.

Mihai Zamfir, director of investments at Abris Capital Partners, emphasized that they remain very confident in the dynamic dental sector, supported by its strong fundamentals and robust growth in a region rapidly reaching Western levels of per capita consumption.

– Our recent acquisitions expand the group’s reach into new markets and further strengthen our position as the leading dental platform in Central and Eastern Europe. These successes are based on the proven ability of our management team to achieve strong organic growth while successfully managing expansion through acquisitions, noted Zamfir.

Following the acquisitions, the founders of the companies will continue to lead operations in Croatia and Hungary.

The agreements are subject to obtaining the usual regulatory approvals and are expected to be finalized in the second quarter of 2025.

The transactions were conducted by Mihai Zamfir and Matei Enache-Pommer. Advisors to Dental Holding included Madirazza and Partners Croatia/ DLA Piper Hungary (legal) and Forvis Mazars Croatia/Mazars (financial and tax), while Grubisic & Partners acted as the seller’s advisor.
