Auctor Secures Dividend from Medika for the Fifth Time, This Year 200 Euros

The leading shareholder of Medika, the investment company Auctor, which is majority-owned by Varaždin lawyer Oleg Uskoković, has successfully secured a dividend from this pharmaceutical wholesaler for the fifth consecutive year. According to the announcement regarding the decisions from the shareholders’ meeting held on Thursday, Auctor has once again submitted a counterproposal for the payment of dividends.

Thus, the assembly decided that the entire net profit of Medika, amounting to nearly 15 million euros, will be allocated to retained earnings. Shareholders will receive a dividend of 200 euros per share. As stated in the announcement, the dividend will be paid from the company’s retained earnings. The right to receive the dividend is granted to all shareholders who held that status on the date of the decision regarding the dividend payment, namely May 2, except for the company’s own shares. The payment must be executed no later than thirty days from the date of the assembly’s decision.

In this way, Auctor, which controls 48 percent of the shares, has this year annulled the initial proposal of the Management Board, which intended only to retain the profit. Moreover, submitting a counterproposal at the assembly for the payment of dividends has already become a customary practice for Auctor, as it has done so at every assembly since 2020. It is worth noting that Auctor became the largest shareholder of Medika in 2019 as part of its own financial restructuring when it indirectly acquired 43 percent of Medika’s shares held by Sanja Palić, the widow of Marijan Palić, one of the veterans of the domestic stock market scene.

She was the previous owner of the company and transferred the debt-laden Auctor to a newly established company based in Prague, Auctor Holding, owned by lawyer Uskoković, who has been engaged in the legal representation of Auctor for years. At the end of 2019, Auctor also announced an offer to acquire the remaining shares of Medika.

Regarding the operations of this pharmaceutical wholesaler, in the first quarter of this year, total consolidated revenues amounted to 205.6 million euros, which is 14.5 percent higher than the previous year. Such growth is also reflected in sales revenues, which reached 203.7 million euros. The net profit stood at 4.7 million euros.
