Instructions for Creditors for Voting at the Hearing on Agrokor – Download the App and Wear the Bracelet

At today’s briefing at Agrokor, technical details and instructions for Agrokor creditors for the hearing and voting at the hearing scheduled for July 4, 2018, at the address Basketball Center Dražen Petrović – CIBONA Hall, Zagreb, starting at 8:00 AM were presented.

All creditors of Agrokor are invited to the hearing, regardless of whether their claims are recognized or disputed.

A total of approximately 3069 creditors have open claims with which they can vote at the hearing, of which about 2785 creditors have an open claim greater than 1,000 HRK.

The total amount of established claims currently stands at (as of June 29, 2018) 42,644,966,221.57 HRK, which, reduced by inter-company claims and settled claims, currently gives voting rights amounting to 25,204,670,817 HRK.

The total amount of disputed claims for which there is a possibility that voting rights will be granted is approximately 12.1 billion HRK.

Due to the large number of creditors and claims, voting at the hearing will not be conducted by raising hands or calling out, but through a specially created mobile application for this purpose. Namely, although this is a court hearing, Agrokor, as the debtor, must provide all necessary support to the Court in organizing this hearing, so Agrokor’s company m-Start has developed a special application “m2voting”.

The application is available on the Google Play Store and Apple Store, and it is recommended that Agrokor creditors who have a smartphone download the free application to their mobile device before the hearing.

All creditors or their representatives who do not have a smartphone or do not know how to use the application will be provided access to devices from which they can vote, as well as technical assistance for voting.

Additionally, to facilitate the use of the application, Agrokor has prepared Instructions for using the application “m2voting”, while also providing a Guide to the hearing as additional assistance for creditors navigating the hearing itself.

Since this is a court hearing and the Cibona Hall represents the courtroom of the Commercial Court in Zagreb, the rules that apply at the hearing are the same as those that apply in Court.

First of all, creditors or their representatives and/or proxies must come to the hearing with a valid ID card or passport, an extract from the court, trade, and other registers, a new valid power of attorney for the hearing for voting on the settlement, as well as a lawyer’s ID and other relevant documentation that grants them the right to participate in the hearing and authorizes them to vote and decide on the settlement.

Additionally, it is necessary to pass a security check as when entering the Court. The Court has allocated two hours for creditor registration, and only those who are properly registered and present in the hearing space will be able to participate in the voting on the settlement.

Creditors or their representatives may only bring items into the hall where the hearing is taking place that are permitted to be brought into the Court.

Upon registration, creditors or their representatives receive: confirmation of registration for the hearing that will need to be signed, an envelope with access codes for the application (username and password), voting instructions, and a bracelet that records their presence in the hall where the hearing is taking place. The bracelet must be put on the wrist immediately.

In the hearing area, creditors are provided with seating in the auditorium.

To activate the voting application, it is necessary to enter the username and password that creditors will receive in the envelope during registration. The voting application is activated only at the moment when voting begins.

It is important to know that each time a creditor or their representative exits the voting area or the auditorium, the bracelet is deactivated, and they will not have the ability to vote, and upon returning to the hearing area, they must reactivate the bracelet. If a creditor misses voting that has since concluded, they lose the right to vote later.

The voting process takes place in two phases. The first phase of voting relates to granting voting rights to creditors of disputed claims, and the second phase relates to the voting of creditors on the Settlement itself.

The voting process on the Settlement concludes at the moment when creditors or their representatives have signed the minutes of the hearing, and the results will be published upon the judge’s decision.

If the hearing is not completed on July 4, 2018, or for any reason is not held that day or is postponed, the Commercial Court has immediately scheduled the hearing or continuation of the hearing for the following day – July 5, 2018, at the same time, and for the same reasons potentially for July 6, 2018, at 8:00 AM.
