The General Assembly of Konzum decided today to withdraw the shares of this retail chain from listing on the regulated market of the Zagreb Stock Exchange.
The company irrevocably declares that it is committed to buying back the shares of all shareholders who vote against this decision at a fair compensation, as stated in the notice from the assembly published by Konzum via the Zagreb Stock Exchange.
Fair compensation is considered to be the average share price achieved on the Zagreb Stock Exchange, calculated as the weighted average of all prices achieved on the Exchange in the last three months prior to the date of the announcement of the call for the General Assembly.
If the amount of fair compensation calculated in a legally prescribed manner is less than 148 kuna, Konzum is committed to paying shareholders 148 kuna per share, which is the price that was valid in the public offering of Agrokor, as stated in the notice from the assembly.
The Agrokor Group is the majority owner of Konzum, holding 81.49 percent of the shares according to the latest data from the Central Clearing Depository Company, while Jamnica, a company within Agrokor, holds 11.10 percent of the shares.
Konzum achieved a profit of 204.68 million kuna last year, and the assembly decided today that a larger portion of that profit amounting to 136.57 million kuna will be allocated to retained earnings, while 68.1 million kuna will be set aside for dividends.
The General Assembly also approved the expansion of the business activities of this retail chain to include the provision of universal postal services in domestic and international traffic, as well as the provision of other postal and courier services.
The assembly revoked three members of the Supervisory Board – Ante Todorić, Josip Zaher, and Ana Jerković, and Ivan Crnjac, Ivica Sertić, and Mate Štetić were elected as new members of this body.
