Mandatory Pension Funds are the Largest Investors in New Shares of Petrokemija

Based on the decision of the General Assembly to increase the share capital through cash contributions, the Management of Petrokemija, upon completion of the collection of offers for the subscription and payment of new shares in the process of offering new shares to shareholders in the first and second rounds, at its meeting on August 9, 2013, with the consent of the Supervisory Board, determined within the offered price range of 170 to 228 kuna for one new share, a unique final price of one new share in the amount of 170 kuna.

In accordance with the established final price,  they inform the public that the existing shareholders of the Company, who had the right to subscribe for shares in the I. and II. round, have subscribed and paid a total of 1,095,330 new shares, thereby fulfilling the condition that the issuance of new shares is considered successfully executed in accordance with the Decision on the increase of share capital.

Considering that the success threshold has been reached and that in the I. and II. round a total of 1,095,330 new shares were validly subscribed and paid, i.e., 99.34 percent of the total maximum offered number of new shares, the Management of the company assessed that it is not economically viable to conduct the III. round, and with the consent of the Supervisory Board, it abandoned the implementation of the III. round.

Furthermore, the Management, with the consent of the Supervisory Board, based on the Decision on the exact amount of the increase in the share capital of the Company by issuing new shares, determined that the share capital of the Company is increased by issuing 1,095,330 new ordinary shares in the name, with an individual nominal value of 170 kuna, and that the new shares are issued at the Final Price corresponding to the nominal amount of the shares.

The share capital of Petrokemija is increased from the amount of 567,989,890 kuna by the amount of 186,206,100 kuna to the amount of 754,195,990 kuna and will be divided into 4,436,447 shares in the name, with an individual nominal value of 170 kuna. The share capital  has been fully paid. In the structure of investors in the new shares of Petrokemija, mandatory pension funds participated with 55.3 percent, voluntary pension funds with 5.8 percent, AUDIO with 23.1 percent, foreign investors with 3.1 percent, open investment funds with 2.5 percent, and others with 10.2 percent.
