Đuro Đaković Reduces Share Capital to Cover Debts

Shareholders of Đuro Đaković Holding will decide at the assembly, scheduled for August 28, on the proposal to reduce the company’s share capital by 64.7 million kuna.

The share capital will be reduced by decreasing the nominal amount of shares from 100 to 80 kuna, in order to cover losses from previous periods amounting to 57.8 million kuna, while 6.9 million kuna would be transferred to reserves.

The Slavonski Brod company today announced a call for the general assembly on the Zagreb Stock Exchange, and along with the proposal to reduce share capital to cover accumulated losses and transfer to reserves, it was proposed that last year’s loss of 3.03 million kuna be covered at the expense of future periods.

According to the proposal for the reduction of share capital, the share capital would be reduced by 64.7 million kuna, from the current 323.7 million kuna to an amount of 258.96 million kuna, by reducing the nominal value of shares by 20 kuna, from the current 100 to 80 kuna.

The simplified reduction of share capital would be carried out to cover losses from previous periods, given that these losses amount to 57.8 million kuna and that the company, as stated, has no retained earnings, legal reserves, and capital reserves nor statutory and other reserves from profits, except for reserves for treasury shares.

Of the total amount of the reduction in share capital, the larger part, or the amount of 57.8 million kuna, would be used to cover accumulated losses, while the remaining 6.9 million kuna would be transferred to capital reserves and legal reserves.

It was also proposed to the assembly that amendments to the Statute empower the Management Board to make a decision on increasing share capital by issuing new shares, for which prior approval from the Supervisory Board will also be required.

The Management Board could make a decision on recapitalization, by issuing new shares with cash contributions, either in a single instance or in several instances, with the share capital being able to increase by a maximum total nominal amount of around 130 million kuna, or up to the total approved amount of share capital of 388.9 million kuna.
