New Deadline for Dalekovod

The company Dalekovod reported that the Management has postponed the decision on convening an extraordinary general assembly of the company and that it has requested and received an extension of the offer deadline for recapitalization from the company Konsolidator d.o.o., as the regular general assembly can be convened after the preparation of the revised financial report for 2012.

The final decision on the date of the general assembly should be made by the Management at a meeting scheduled for June 10, and in the notice delivered to the Zagreb Stock Exchange, they state that the date of the assembly will be determined and aligned with the validity period of the binding offer from Konsolidator.

The company Konsolidator, owned by Nexus Private Equity Partners, submitted a binding offer for the recapitalization of Dalekovod in mid-May, which was valid until July 15.

Dalekovod states that they requested and received an extension of the validity period of the offer from Konsolidator, which is now valid until July 31 of this year.

The Konsolidator’s offer is conditioned on the “prior cumulative fulfillment” of two conditions – the finality of the Commercial Court’s decision approving the concluded pre-bankruptcy settlement and the holding of a general assembly that would make several related decisions regarding the reduction and increase of Dalekovod’s share capital.

In addition to the conditions from Konsolidator’s offer, the general assembly should now consider the report on the company’s operations in the previous year, make a decision on covering the loss from 2012, etc.
