264,812 Shares of Janaf Arriving on the Regular Market of ZSE

Janaf will soon deliver the prospectus for the listing of 264,812 ordinary shares on the regular market of the Zagreb Stock Exchange to the Zagreb Stock Exchange and the Central Clearing and Depository Company.

The Management Board of Hanfa approved the prospectus for the listing of 264,812 ordinary shares, with a nominal value of 2,700 kuna, on the Regular Market of the Zagreb Stock Exchange at last week’s meeting.

The prospectus, which was approved by Hanfa for Janaf, pertains to shares acquired in 2009 by the Croatian Agency for Mandatory Oil and Oil Derivatives Reserves (HANDA) and which were issued as series B shares. In order to convert these shares into series A, it was necessary to prepare a listing prospectus, which has been done, Janaf explains, noting that there are no changes in Janaf’s ownership structure.

Namely, Janaf’s share capital amounts to 2.72 billion kuna and is currently divided into two series of shares – series A (742,846 shares, nominal value of 2,700 kuna) and series B (264,812 shares, nominal value of 2,700 kuna), and the main assembly of Janaf made a decision last summer to convert series B shares into series A shares.

Janaf’s series A shares are already listed on the regular market of the Zagreb Stock Exchange, while all series B shares are held by HANDA and are not listed on the regulated market.

Along with the decision on conversion, the assembly of Janaf tasked the company’s Management to submit a request for the listing of those 264,812 shares, which will be converted into series A on the regulated market of the Zagreb Stock Exchange, upon fulfilling legal prerequisites.

According to aggregate data (which includes shares from both series A and series B), AUDIO/Croatian Pension Insurance Institute owns 37.26 percent of Janaf’s shares, HANDA has a stake of 26.28 percent, INA 11.89 percent, the state (AUDIO) 10.66 percent, HEP has 5.36 percent, AUDIO/State Agency for the Rehabilitation of Banks (DAB) 4.30 percent, and other shareholders 4.34 percent.
