Maja Rilović, the president of the INA union, believes that her participation as a workers’ representative at the inaugural meeting of the Supervisory Board of INA held on December 18 was unlawfully prevented and that she was unlawfully dismissed from the Supervisory Board.
Immediately before the inaugural meeting of the Supervisory Board, held after the extraordinary general assembly of INA, I was informed that all other members of that body accept the legality of the decision appointing Božo Mikuš (president of the Oil Industry Union) as the workers’ representative on the Supervisory Board, says Maja Rilović in a letter to the members of the Supervisory Board and the Management of INA as well as to the media.
Rilović warns that, according to the Companies Act, a member of the Supervisory Board can be dismissed by the one who appointed them, and in her case, this was done by the workers in direct elections. However, they did not dismiss her, claims Rilović.
She reminds that the Management of INA decided in November last year to suspend the registration of Božo Mikuš as a member of the Supervisory Board as well as her dismissal, because some members of the Management believed that there was no clear legal basis for the Workers’ Council’s decision to appoint Mikuš to the Supervisory Board, in accordance with the opinion of the then Ministry of Economy, Labor and Entrepreneurship that a workers’ representative elected in free and direct elections cannot be dismissed by a subsequently elected Workers’ Council.
