Adris Group has informed the Zagreb Stock Exchange that the main General Assembly of the company will be held on December 17 in Rovinj.
The agenda of the Assembly includes a decision on the dismissal of members of the Supervisory Board. Due to the expiration of their term on December 31, the current members of the Supervisory Board: Rino Bubičić, Tomislav Budin, Marica Šorak-Pokrajac, Andrea Cerin, Teodora Hodak, and Hrvoje Patajac are being dismissed and will be elected for another term. However, starting next year, the Supervisory Board, which previously had six members, will be joined by a seventh, Roberto Škopac. The term of the Supervisory Board members begins on January 1, 2013. Shareholders who are registered in the depository of the Central Clearing Depository Company d.d. Zagreb, or whose name is associated with a custodial account opened with the relevant institution as a custodian for ordinary shares, have the right to participate in the work of the General Assembly, at least 7 days before the General Assembly is held, and who submit an application for participation in the General Assembly no later than 6 calendar days before the date of the General Assembly. The day of application and the day of the General Assembly are not counted. The application (form available on the Company’s website) must be submitted in writing to the Company’s Management at the Company’s registered office. In the application, the shareholder indicates, in addition to personal data, the intention for which agenda item they wish to participate in the discussion. Voting at the General Assembly can also be done by proxy, according to the notice to the ZSE.
