Konzum Merges with Centropromet from Varaždin

The retail chain Konzum and the Varaždin-based Centropromet signed a merger agreement at the beginning of last week, and the contract has been submitted to the court register of the Commercial Court in Varaždin and Zagreb, as stated in the announcement by Konzum published on the Zagreb Stock Exchange.

Konzum, as the acquiring company, is the founder and sole shareholder of Centropromet and, in that capacity, holds 140,508 ordinary shares of that company, with a nominal value of 400 kuna, representing 100 percent of Centropromet’s share capital. Since this merger agreement pertains to a merger in special cases, i.e., the acquiring company (Konzum) holds 100 percent of the shares of the merged company prior to the merger, approval from the General Assembly of Konzum is not required for the merger, unless shareholders whose shares together reach at least one-twentieth of the share capital request that a general assembly be convened to decide on granting approval for the merger, as stated in the announcement. The executed merger will not result in an increase in Konzum’s share capital, nor will there be an exchange of Konzum shares for Centropromet shares, as stated in the announcement published on the Zagreb Stock Exchange. Centropromet is a joint-stock company for trade and services.
