OTP Bank acquires 10.65 percent of Podravka’s shares

Podravka has reported via the Zagreb Stock Exchange that it has received a notice regarding the Put option whereby OTP Bank, in accordance with the call and put option agreement between Podravka and OTP Bank dated March 27, 2009, informs the company from Koprivnica that it wishes to exercise the put option on 10.65 percent of the shares issued by Podravka d.d., of which the holder is Fima Ami Limited.

At the same time, OTP Bank informed Podravka that, in accordance with the call option agreement between OTP Bank and Fima Ami dated March 27, 2009, it has activated the call option for the option shares in relation to Fima Ami Limited, and that it intends to acquire the relevant shares. The activation of the options means that OTP Bank becomes the owner of the relevant shares and intends to sell them to Podravka at a price determined at the time of loan approval. The Zagreb Stock Exchange, after receiving Podravka’s notice of OTP Bank’s intention to acquire 10.65 percent of Podravka’s shares in accordance with the call (the option to purchase shares) and put option (the option to sell shares) agreement, has classified Podravka’s shares into the observation segment.
