Shares of Zagreb Brewery will be delisted from the Zagreb Stock Exchange tomorrow, the Exchange reported on its website. The listing of ordinary shares of Zagreb Brewery, which are listed on the Regular Market under the symbol ZAPI-R-A, will be revoked effective June 10, according to the decision of the Zagreb Stock Exchange.
The decision to delist from the Zagreb Stock Exchange was made by the General Assembly of Zagreb Brewery on May 12 of this year. At the end of last week, Zagreb Brewery submitted to the Exchange the decision of the Commercial Court in Zagreb dated June 2 of this year regarding the registration of the Decision to withdraw the listing of ordinary shares of Zagreb Brewery from the regular market of the Zagreb Stock Exchange and announced that it would submit a request to the Exchange for delisting on June 7. Zagreb Brewery has committed to buy back shares from all shareholders who voted against this decision and who, within two months from the date of registration of this decision in the court register, request the right to fair compensation, at a fair price calculated as the average price of shares achieved on the regular market calculated as the weighted average of all prices achieved on the regular market of the Zagreb Stock Exchange in the last three months prior to the announcement of the call for the General Assembly. According to the data from the report on the held assembly, this is a price of 3,651.20 kuna per share. The majority owner of Zagreb Brewery is Cervesia Zagreb, which is wholly owned by Starbev S.a.r.l. from Luxembourg, which in turn is wholly owned by CVC European Equity V Limited. According to the latest data from the Central Clearing Depository, Cervesia holds 591,070, or 95.26 percent of the shares of Zagreb Brewery. (H)
