Cervesia Increases Stake in Zagrebačka Pivovara to 86.92 Percent

The takeover bid announced by Cervesia in December last year, which operates jointly with StarBev and CVC, was accepted by 286 shareholders of Zagrebačka Pivovara who sold 15 percent of the shares, thereby increasing Cervesia’s stake in Zagrebačka Pivovara to 86.92 percent.

Cervesia Zagreb is wholly owned by Starbev S.a.r.l. from Luxembourg, which in turn is wholly owned by CVC European Equity V Limited. The takeover bid for shares of Zagrebačka Pivovara was announced after acquiring 446,232 shares in October, representing 71.92 percent of the equity capital. In the first half of December last year, Cervesia announced a takeover bid at a price of 3,791.30 kuna per share, with the acceptance deadline expiring on January 8 of this year. According to a report published today on the Zagreb Stock Exchange regarding the takeover, the bid was accepted by 286 shareholders of Zagrebačka Pivovara, and Cervesia paid them and acquired 93,091 shares, which represents 15 percent of the equity capital of Zagrebačka Pivovara.

Thus, after the takeover bid, Cervesia and the companies with which it operates, StarBev and CVC, hold 539,323 ordinary shares of Zagrebačka Pivovara, with a total nominal value of 161.79 million kuna, representing 86.92 percent of the equity capital of Zagrebačka Pivovara, as stated in the report. Considering the number of acquired shares and the price of Zagrebačka Pivovara shares from the takeover bid of 3,791.30 kuna per share, the acquirers paid a total of slightly more than 352.9 million kuna for the acquired shares. The Central Clearing Depository also reported today on its website that the corporate action of acquiring Zagrebačka Pivovara was completed at the end of last week, on January 22, by transferring the stored shares to the account of the bidder Cervesia Zagreb and paying cash to the shareholders.
