Carlson Private Equity Approved Offer to Acquire Željezara Split

The Management Board of the Croatian Financial Services Supervisory Agency today approved the publication of an offer for the acquisition of the joint-stock company Željezara Split to Carlson Private Equity Limited, based in London, as announced on Hanfa’s website.

According to the decision of Hanfa, Carlson Private Equity Limited submitted a request to Hanfa on October 12 for approval to publish the offer for the acquisition of the Split Željezara, the acquisition offer, and relevant documents, with an amendment to the request on December 2.

The obligation to publish the acquisition offer arose for this company on September 8 of this year upon acquiring a total of 223,060 shares of Željezara, which represents 95.86 percent of the share in the equity capital and gives 95.86 percent of the votes. These shares were acquired by Carlson Private Equity Limited through a Share Sale and Transfer Agreement concluded on September 8 of this year.

The price that the offeror commits to pay per share in the acquisition offer amounts to 0.01 kuna. According to data available to the Agency and documentation attached to the request, the highest price at which the offeror acquired a total of 223,060 shares of the target company with voting rights in the one-year period prior to the obligation’s inception is 1.00 euro.

According to the confirmation from the Zagreb Stock Exchange submitted with the request, there was no trading of shares of Željezara Split on the Zagreb Stock Exchange in the three-month period from the date of the obligation to publish the acquisition offer.

The English fund Carlson Private Equity Limited reported on September 10 in a notice to the Zagreb Stock Exchange regarding the obligation to publish the acquisition offer that on September 8 it concluded a Share Sale and Transfer Agreement with the Polish Zlomrex, with suspensive conditions, for the transfer of 223,060 shares representing 95.86 percent of the votes at the general assembly. It also announced at that time that it would publish the acquisition offer within the timeframe prescribed by the Companies Act on Takeovers.
