Due to subsequently received orders, the number of INA shares for MOL’s offer has increased

The Central Depository Agency reported that due to subsequently received timely dispatched orderly orders for acceptance of the offer, the total number of stored shares in MOL’s offer for the acquisition of INA shares now amounts to 2,215,537 paid shares.

This represents 22.15 percent of the total number of INA shares and 73.45 percent of the shares to which MOL’s public offer related. The subsequently received orders did not affect the size of the INA share package that MOL managed to secure in its public offer, which closed on October 10. The Hungarian MOL will thus have a total of 47.15 percent of the shares of the Croatian oil company, with the previously purchased 25 percent plus one share. After the public offer, the Hungarian oil company becomes the largest shareholder of INA, considering that the Government owns 4,483,552 shares or 44.83 percent of the shares. According to the Takeover Act, the deadline for the payment of cash funds to shareholders is October 17, 2008. MOL offered a price of 2,800 kuna per INA share in the public offer, so approximately 6.2 billion kuna needs to be paid to shareholders for the stored shares. MOL’s voluntary offer for the acquisition of INA related to slightly more than 30.16 percent of the shares, or to all INA shares not owned by MOL and the Croatian Government. (H)
