Hanfa Approved Changes to HT’s Prospectus

The Croatian Financial Services Supervisory Agency (Hanfa) today approved the publication of amendments and supplements to the data regarding the listing of HT’s shares on the first quotation of the Zagreb Stock Exchange during an extraordinary session with HT-Croatian Telecommunications, Hanfa briefly announced on its website.

According to reports, the amendments and supplements to the listing prospectus relate to new material facts since the last amendments, specifically regarding the selling price, the dismissal of the lawsuit by the Consumer Association, and HT’s intention to participate in the privatization of Telekom Slovenije. The Croatian Government decided yesterday that HT’s shares will be sold in the public offering at a price of 265 kuna per share.

In Slovenia, it was officially confirmed yesterday that among the 15 bidders for the purchase of the 49.13 percent stake of the state in Telekom Slovenije and HT. The first phase of the sale of the Slovenian state’s stake in Telekom Slovenije ends on October 15, by which time registered bidders must submit their non-binding offers.

Regarding the lawsuit by the Consumer Association, the Zagreb Municipal Court last week dismissed the association’s request for a temporary ban on collecting public offers for the purchase of HT’s ordinary shares as unfounded. The Consumer Association sought a court ban on collecting offers, arguing that the prospectus for the listing of HT’s shares on the stock exchange did not include information about the legal dispute that could affect the final share price. The court assessed that the association was not actively legitimized to submit the proposal because there is no legal relationship between it and the state on one side and HT on the other, and that the Consumer Association did not make the existence of its claim probable.

The Management Board of Hanfa also rejected the Consumer Association’s request for a postponement of the execution of Hanfa’s decision on the approval of the prospectus until the final court decision of the Administrative Court, or the conclusion of the administrative dispute that the Consumer Association also initiated.

On September 14, Hanfa approved the so-called prospectus, i.e., the publication of data regarding the listing of HT’s shares on the first quotation of the Zagreb Stock Exchange, and on September 24, its amendments and supplements related to the increase of the share package for HT’s public offering to 32.5 percent.
