Optima Telekom Became a Joint Stock Company

The company OT-Optima Telekom d.d. informed the Zagreb Stock Exchange on Wednesday that Zagrebačka Banka, as the issuance agent, has convened a Meeting of Bondholders (OPTE-O-142A) at which the transformation into a joint stock company is planned to be completed.

The transformation of OT into a joint stock company, which the company announced to the Zagreb Stock Exchange in mid-July, was completed on July 24 by a decision of the Commercial Court in Zagreb, according to today’s announcement on the Exchange. It is also stated that the Meeting of Bondholders of OT (stock symbol OPTE-O-142A) will be held on August 21, convened by Zagrebačka
Banka as the administrative agent for the issuance of these bonds. Prior to this transformation into a joint stock company, OT operated as a limited liability company. In OT’s announcement to the Zagreb Stock Exchange regarding the intention of this transformation, it was stated that the company’s share capital would remain at 200,700 kuna and that it is divided into 20,070 shares with a nominal value of 10 kuna. Žuvanić, also stated that the sole owner of OT remains Matija Martić. OT’s corporate bonds were listed on the Parallel Market of the Zagreb Stock Exchange on February 5 of this year, when trading began under the symbol OPTE-O-142A. This is a 250 million kuna issuance of seven-year bonds (until 2014), intended for refinancing the company’s existing credit obligations. The company OT began operations in the Croatian telecommunications market in 2005, and by the beginning of this year, they had acquired, as stated during the presentation of the aforementioned bonds, 11 percent of the Croatian fixed-line telephony market with approximately 173,000 users.
